Terms of Use & Disclaimer

01The short version

DarkSweep is a market-data and pattern-detection research tool — software, not a financial advisor. Nothing here is a recommendation to buy or sell anything, every trading decision is yours alone, and options trading involves a substantial risk of loss. The plain-English points below are a convenience, not a substitute for the full terms that follow.

  • We are not a registered investment adviser, broker-dealer, or fiduciary.
  • DarkSweep surfaces confluence and market observations — confluence scores, sweeps, dark-pool levels, pattern detections, and AI-generated analysis. These are educational observations, never recommendations or alerts to buy or sell.
  • Past patterns do not guarantee future results.
  • Market data may be delayed, incomplete, or occasionally incorrect, and is provided "as is."
  • Our liability to you is capped, you agree to binding individual arbitration and to waive class actions, and you agree to indemnify us for losses arising from your use of the Service.

02Acceptance of these Terms

By creating an account or otherwise accessing DarkSweep (the "Service"), operated by DarkSweep.ai LLC ("we," "us," or "Company"), you agree to be bound by these Terms of Use, including the Disclaimer below. If you do not agree, do not access or use the Service.

We may update these Terms from time to time. Material changes are communicated by requiring you to re-accept the Terms before continuing to use the Service. The "Version" and "Effective date" above identify the current revision.

03Who can use DarkSweep

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. The Service is intended for individual, personal use by people who understand the risks of active trading. You are responsible for ensuring that your use of the Service is lawful in your jurisdiction, and the Service is not offered where prohibited by law.

04What DarkSweep is

DarkSweep is a market data and pattern-detection research tool. It aggregates publicly available and licensed market data — including options flow, dark-pool prints, sweep activity, open-interest changes, technical conditions, and macro indicators — and surfaces computed observations such as unusual options activity, multi-factor convergence, confluence scoring, and historical reaction patterns at price levels. It surfaces confluence and market observations for you to research — it does not issue trade recommendations.

The Service is intended for educational and informational research purposes only. It is a lens on what the market is doing — not a prediction of what it will do, and not a directive to act.

05Not investment advice — what DarkSweep is NOT

You acknowledge and agree that:

  • We are not an investment adviser. Neither DarkSweep nor the Company is a registered investment adviser under the U.S. Investment Advisers Act of 1940 or any state securities law, and we do not hold ourselves out as one.
  • We are not a broker-dealer. We are not a registered broker-dealer with the SEC or a member of FINRA, and we do not execute, facilitate, or recommend the execution of any securities transaction.
  • No content is a recommendation. Nothing published, displayed, or communicated through the Service — including but not limited to confluence scores, sweeps, dark-pool levels, pattern detections, flagged contracts, watchlist entries, market-mood readings, AI-generated analysis, or any other market observation or data visualization — constitutes an offer, solicitation, or recommendation to buy, sell, or hold any security, option, derivative, or other financial instrument.
  • No personalized or professional advice. Content on the Service is general in nature and provided to all users in substantially the same form. We do not know your individual financial situation, investment objectives, risk tolerance, tax position, or any other personal circumstances, and nothing on the Service is tailored to them. Nothing on the Service is legal, tax, accounting, or investment advice.
  • No fiduciary relationship. No fiduciary, advisory, agency, or similar relationship is created between you and DarkSweep or the Company by your use of the Service.
  • You make your own decisions. All investment, trading, and risk decisions are solely yours. You should consult a licensed financial, investment, tax, and/or legal professional before acting on any information obtained from the Service.

06Trading involves substantial risk

Active securities trading involves a substantial risk of loss and is not suitable for all investors. You can lose some, all, or — with leveraged instruments — more than your initial investment. You should never trade with money you cannot afford to lose, and you accept full responsibility for any losses incurred from acting on information obtained from the Service. You are solely responsible for any taxes arising from your trading activity.

07Options & leveraged/inverse instruments — special risks

Much of what DarkSweep surfaces relates to options and other leveraged instruments, which carry risks beyond those of ordinary equity:

  • Options are leveraged; a small adverse move in the underlying can produce a large or total loss of the premium paid.
  • Options expire. Time decay (theta) erodes value, and a thesis that is "right" too late can still lose.
  • Leveraged and inverse ETFs are designed for short holding periods and can decay or diverge from the underlying index over time.
  • Strategies involving short options or short positions can carry theoretically unlimited loss potential, margin calls, and forced liquidation.
  • You should read the standardized options-risk disclosure, Characteristics and Risks of Standardized Options, available from your broker, before trading options.

08Assumption of risk & no reliance

You use the Service at your own risk and on your own judgment. You acknowledge that you are solely responsible for evaluating the merits and risks of any transaction, that you will not rely on the Service as the sole basis for — or a substitute for — your own independent research and the advice of your own licensed professionals, and that no content on the Service is a substitute for professional advice. You represent that you have sufficient knowledge and experience to evaluate the information the Service provides and the risks of trading the instruments it references, and that you are financially able to bear those risks.

09Market observations, scores & pattern detection — limitations

Confluence scores, squeeze-fuel readings, tiers, and pattern detections are algorithmic observations, not facts about the future and not trade recommendations. You acknowledge that:

  • "Unusual" options activity, sweeps, and dark-pool prints are observations of market behavior, not predictions. The Service cannot determine the intent behind any institutional trade — accumulation, hedging, spreads, and unwinds can look similar.
  • Scores and labels are produced by models that can be wrong, can produce false or conflicting readings, and can behave unexpectedly in unusual market conditions.
  • Models, weightings, and thresholds change over time as we refine the Service; outputs are not stable, audited financial metrics.
  • A high score is a measure of how many observations converge in our data — not a probability of profit, and not a suggestion to trade.

10AI-generated analysis

Parts of the Service use large language models to generate written analysis of the patterns it detects (for example, a neutral summary plus an argued bull case, bear case, and what would invalidate the read). This content is educational and illustrative only. AI-generated text can be incomplete, can misread the data, or can produce statements that are inaccurate ("hallucinations"). It is not investment advice, is not reviewed by a licensed professional, and must not be relied upon as the basis for any trading decision. Always verify against primary sources and your own judgment.

11Backtesting & historical results

Where the Service shows how an observation or pattern behaved historically, those results are derived from past data and have inherent limitations. Past performance does not guarantee future results. Patterns that have historically preceded a move may fail to do so in the future, and historical analysis is subject to revision, survivorship and selection effects, and changes in market structure.

12Performance & historical-result claims

Any performance figures, hit rates, or historical-result statistics the Service displays are internal measurements computed from our own data and methodology. They are not independently audited or verified, may use assumptions (such as entry and exit timing) that differ from how you would actually trade, and exclude costs such as commissions, fees, slippage, and taxes. They are provided for transparency and education, not as a representation of returns any user did or will achieve.

13Data accuracy & third-party sources

The Service incorporates data and content from third-party providers and public sources. Market data may be delayed (in some cases by 15 minutes or more), incomplete, or in rare cases incorrect. We do not guarantee the accuracy, completeness, or timeliness of any data, whether sourced from third parties or computed by us, and we are not responsible for third-party errors, outages, or changes.

14Founder & track record

Any references to the trading experience, history, or results of the Company's founder, team, or contributors are provided for background and context only. They reflect specific circumstances at specific times, are not audited, and are not indicative of any result you should expect. The skill or history of any individual is not a promise of future performance, yours or theirs.

15Conflicts of interest & positions

The Company, its owners, employees, and contributors may hold, acquire, or dispose of positions in securities, options, or other instruments that are referenced, flagged, or surfaced by the Service, and may do so at any time without notice. Such positions may be inconsistent with, or contrary to, what the Service surfaces. We are under no obligation to disclose any specific position, and you should assume a potential conflict of interest may exist.

16Testimonials

Any testimonials, reviews, or user comments that appear in connection with the Service reflect the individual experiences of particular users. They are not representative of typical results, are not verified, and are not a guarantee that you will have a similar experience. Individual results vary, and many traders lose money.

17Forward-looking statements

Any statements on the Service that are not historical facts — including commentary about potential market direction, "potentially explosive" conditions, or what a pattern might imply — are forward-looking opinions based on current data and subject to change without notice. They involve known and unknown risks and uncertainties, and actual outcomes may differ materially.

18No warranty as to data or content

The Service is provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, completeness, timeliness, title, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any result, return, or outcome will be achieved. No advice or information, whether oral or written, obtained from the Service creates any warranty not expressly stated here.

19Limitation of liability

To the maximum extent permitted by applicable law, in no event shall DarkSweep, the Company, or any of its owners, officers, employees, contractors, affiliates, licensors, or data providers be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, trading losses, business opportunity, or goodwill, arising out of or related to your use of (or inability to use) the Service, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages, and even if a remedy fails of its essential purpose.

To the maximum extent permitted by applicable law, our total aggregate liability to you for all claims arising out of or related to the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) US$100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you; in those jurisdictions our liability is limited to the maximum extent permitted by law.

20Indemnification

You agree to defend, indemnify, and hold harmless DarkSweep, the Company, and its owners, officers, employees, contractors, affiliates, licensors, and data providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any trading or investment decision you make based on content obtained from the Service.

21Subscriptions, billing & refunds

Paid plans are billed through our third-party subscription processor on a recurring basis (for example, monthly or annually) and renew automatically until cancelled. By subscribing, you authorize recurring charges to your selected payment method until you cancel. You may cancel at any time, effective at the end of the current billing period; cancellation stops future charges but does not retroactively refund the current period. Except where required by applicable law, all fees are non-refundable and we do not provide refunds or credits for partial periods, unused access, or downgrades. We may change pricing or plan features prospectively, with notice to existing subscribers. Applicable taxes are your responsibility.

22Acceptable use & your account

You agree not to: (a) reverse-engineer, scrape, or systematically extract data from the Service except as expressly permitted; (b) resell, republish, or redistribute Service content without prior written permission; (c) attempt to gain unauthorized access to any portion of the Service; (d) interfere with or disrupt the Service; or (e) use the Service in violation of any applicable law or regulation. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. We reserve the right to suspend or terminate your account at any time, for any reason, with or without notice.

23Service changes & availability

We may modify, suspend, or discontinue all or any part of the Service — including features, data sources, scoring methods, and access tiers — at any time, with or without notice. We do not guarantee that the Service will be available, uninterrupted, or error-free, and we are not liable for any unavailability, delay, or data gap. We may also impose or change usage limits at our discretion.

24Intellectual property

All content on the Service — including software, scoring models, layouts, visualizations, text, and trademarks — is owned by the Company or its licensors and is protected by U.S. and international intellectual-property laws. You receive a limited, non-exclusive, non-transferable, revocable license to access the Service for your own personal, non-commercial use, subject to these Terms.

25Feedback

If you send us ideas, suggestions, or other feedback about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and incorporate that feedback for any purpose, without any obligation or compensation to you.

26Privacy

Our handling of your personal information is described in our Privacy Policy. By using the Service, you consent to that handling.

27Governing law

These Terms are governed by the laws of the State of Georgia, United States, without regard to its conflict-of-laws principles. The Service is operated from the United States; if you access it from elsewhere, you are responsible for compliance with local law.

28Dispute resolution — arbitration & class-action waiver

Please read this section carefully — it affects your legal rights, including your right to go to court and to participate in a class action.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at support@darksweep.ai and to attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Binding individual arbitration. Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved by final and binding arbitration on an individual basis, rather than in court. The arbitration shall be seated in the State of Georgia (or conducted remotely) and conducted in English. Either party may instead bring an individual claim in small-claims court if it qualifies.

Class-action waiver. You and the Company agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any class or representative proceeding.

Exceptions. Nothing in this section prevents either party from seeking injunctive or other equitable relief in court to protect its intellectual-property or confidential-information rights. If any portion of this section is found unenforceable, the remainder shall remain in effect; if the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court.

29Trading & your wellbeing

Active trading can be financially and psychologically demanding. The fast pace, the potential for loss, and the constant stream of market observations can contribute to stress, poor sleep, and impulsive decisions. DarkSweep is a research tool, not a reason to over-trade. Trade within your means, take breaks, and seek support if trading is harming your finances or wellbeing.

30Updates to these Terms

We may revise these Terms as the Service evolves. When we make a material change, we will update the Version and Effective date above and require you to re-accept before continuing to use the Service. Your continued use after a non-material update constitutes acceptance of the revised Terms.

31General provisions

  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign or transfer these Terms without our prior written consent; we may assign them freely, including in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is held unenforceable, the remaining provisions continue in full force and effect.
  • Survival. Provisions that by their nature should survive termination — including the disclaimers, limitation of liability, indemnification, and dispute-resolution provisions — survive.
  • Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
  • Electronic communications. You consent to receive communications and agreements from us electronically, and you agree that electronic agreements and notices satisfy any legal requirement that such communications be in writing.
  • Headings. Section headings are for convenience only and do not affect interpretation.

32How these Terms fit together

This document combines our Terms of Use and our Disclaimer. These Terms, together with any policies referenced herein (including the Privacy Policy), constitute the entire agreement between you and the Company concerning the Service and supersede any prior agreement on the same subject. If a specific written agreement between you and the Company conflicts with these Terms, that specific agreement controls to the extent of the conflict.

33Contact & agreement

By using the Service you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and Disclaimer — including the arbitration and class-action-waiver provisions — and that you alone are responsible for your trading and investment decisions.
